General Terms and Conditions
These General Terms and Conditions (“Sales Terms”) apply to the sale of NanoFEA LLC products (“Products”) to customer (“Customer”). NanoFEA’s offer to sell Products to Customer, and NanoFEA’s acknowledgment of any purchase order or other Customer document (“Order”) is expressly limited to, and expressly conditioned on Customer’s acceptance of these Sales Terms. The applicability of terms contained in Customer’s Order is limited to the identification and the quantity of Products ordered. NanoFEA objects to and rejects all other Customer terms, in any form, that are different from or additional to these Sales Terms.
Disclaimer
NanoFEA LLC may provide Product information, including technical information, specifications, recommendations, literature, and other materials (collectively “Product Information”) for Customer’s convenience in Customer’s selection of Products. The accuracy or completeness of Product Information is not guaranteed and is subject to change without notice. No license under any NanoFEA or third party intellectual property rights is granted or implied with this Product Information. Customer is solely responsible for evaluating and selecting Products and determining whether each Product is fit for a particular purpose and suitable for Customer’s use and method of application. Products are not manufactured to any Customer requirements or specifications unless expressly agreed to in writing by NanoFEA. Products that are sold for Customer’s use or consumption may not be repackaged, resold, or redistributed in any manner without NanoFEA’s prior written consent.
All Product information represented are based on testing conducted under standard conditions of 300K, 1 atm, and 50-80% relative humidity (RH). However, NanoFEA makes no representations or warranties either express or implied, regarding the suitability of the material for any specific purpose or the accuracy, completeness, or reliability of the information presented. The data provided is for informational purposes only and may not apply to all conditions or use cases. Users are responsible for verifying the suitability of the material for their particular application and conducting their own testing under relevant conditions.
NanoFEA, LLC will not be held liable for any direct, indirect, incidental, consequential, or any other type of damages arising from the use of or reliance on this information, including but not limited to any claims, losses, or damages resulting from the use of the material outside the specified conditions or improper application. By accessing and using the data on this website, you acknowledge and agree that the information is provided “as is” and that you assume all risks associated with its use.
Quotations
Quotations are valid for 60 days from date of issue
All pricing is shown in USD$
Terms are Net 60 – Interest will be charged for late fees of 2.5% per month after 60 days
No order will be processed unless it contains adequate information for manufacture. Customers drawings (if applicable) must be provided with the original purchase order.
Leadtime is based on current capacity and is subject to change at the time of order placement. Leadtime and Delivery will be confirmed at time of the order placement.
On occasion, we may use precious metals in our materials (part number dependent) and we reserve the right to reevaluate part pricing for these products at time of order placement if the Englehard Industrial Bullion price has fluctuated more than 5% between the date of the quotation and date of order placement.
Export Controls
The products and/ or services provided by this quotation are subject to export control laws and regulations including those of the United States, Canada, the United Kingdom and the European Union, as well as all other relevant jurisdictions. The Client agrees not to export, re-export or transfer any items received under this agreement in violation of these laws and regulations.
All parties directly or indirectly related to this transaction must comply with all applicable export control laws and regulations.
The export, re-export, or transfer of any items, technical data or software received under this agreement to any unauthorized, prohibited end-user or for any prohibited end use, including but not limited to; the development, production, or use of weapons of mass destruction, nuclear related activities intended for use outside in development of weapons of mass destruction, missile, chemical or biological weapons, human rights abuses, or any support for terrorism is strictly forbidden. Any violation of these export control provisions may result in termination of the agreement and legal ramifications.
